Master Terms of Service & Privacy Policy

This Master Terms of Service and Privacy Policy (“Agreement”) governs access to and usage of the AI Agents Ke platform, including all associated web interfaces, developer engines, mobile nodes, voice automation systems, and API integrations (collectively, the “Services”).

The AI Agents Ke platform is owned, maintained, and operated exclusively by Crinoid Investments Limited (“Company,” “we,” “us,” or “our”). By accessing, registering for, onboarding onto, or interacting with the Services, any individual, business, or enterprise entity (“Client,” “User,” or “you”) agrees to be legally bound by all terms, conditions, and privacy frameworks contained herein.

Important: If you do not agree with the terms of this Agreement, you must refrain from accessing, setting up, or utilizing the platform and its associated services immediately.

2.1 Services Provided

AI Agents Ke delivers enterprise-grade communication infrastructure, including: multi-channel AI conversational tools and workflow automation; voice AI automation capabilities; direct Meta WhatsApp Business Cloud API integration and management; enterprise SMS routing infrastructure and shortcode/USSD connectivity; and developer APIs and custom webhook endpoints.

2.2 Account Provisioning & Managed Onboarding

Evaluation & Handover: Workspaces on AI Agents Ke are provisioned via a managed onboarding process. Following the evaluation of an enterprise request, workspace credentials and API configurations are formally handed over to the Client by Crinoid Investments Limited administration. Account Security: Clients are strictly responsible for maintaining the confidentiality of their workspace credentials, administrative access tokens, and API keys. Any action performed within a Client’s workspace is deemed to be executed by or authorized by the Client.

2.3 Subscriptions, API Billing, and Hold Statuses

Subscription Cycles: Access to platform infrastructure is billed on a recurring subscription basis (monthly, quarterly, or annually) as outlined in your commercial service agreement. Third-Party Payment Gateways: All financial transactions, recurring billing schedules, and card/mobile money data (e.g., M-Pesa, credit/debit cards) are processed strictly via secure, compliant, third-party payment API gateways. Crinoid Investments Limited does not host, transmit, process, or store payment credentials on its servers. Renewal Warnings & Holds: Subscription fees must be settled on or before the due date via the authorized billing portal. Failure to settle outstanding dues will result in the account status being updated to “On Hold.” Impact of Hold Status: Accounts placed on hold will experience immediate, temporary suspension of automated AI channel responses, voice routing, and active API connections. Full reactivation requires complete settlement of all outstanding subscription balances.

2.4 Acceptable Use Policy (AUP)

Clients agree to utilize AI Agents Ke exclusively for legitimate, lawful business communications. Clients are strictly prohibited from using the platform to: transmit unsolicited bulk messages (spam), unverified marketing blasts, illegal content, or fraudulent/phishing schemes; engage in deceptive practices, unlawful impersonation, harassment, or unauthorized data harvesting; or distribute malware, dangerous payloads, viruses, or code designed to compromise system integrity or bypass API guardrails. Audit & Immediate Suspension: Crinoid Investments Limited reserves the right to monitor and audit network activity for compliance. Any breach of this AUP grants the Company the right to immediately suspend or terminate the offending workspace without prior notice or financial liability.

2.5 Intellectual Property Rights

Company Ownership: Crinoid Investments Limited retains all rights, titles, ownership, proprietary technologies, source code, system architecture, and intellectual property in the AI Agents Ke platform, the proprietary Ella engine, underlying models, algorithmic workflows, and developer APIs. Client Data Ownership: The Client retains exclusive ownership of all uploaded business assets, custom prompts, internal knowledge base documents, end-user contact lists, and conversation logs submitted to or generated within their workspace.

2.6 Disclaimers & Limitation of Liability

“As-Is” Provision: The Services are delivered on an “As-Is” and “As-Available” basis. Crinoid Investments Limited makes no express or implied warranties regarding uninterrupted uptime or faultless operations. Third-Party Dependencies: AI Agents Ke relies on external infrastructure providers, telecommunication networks, and third-party APIs (including Meta/WhatsApp Cloud API, LLM infrastructure providers, and payment processors). Liability Cap: Crinoid Investments Limited shall not be held liable for any direct, indirect, incidental, or consequential damages, loss of business, lost revenues, or operational downtime resulting from telecommunications outages, third-party infrastructure failures, or platform disruptions on Meta/WhatsApp APIs.

Crinoid Investments Limited respects your operational privacy and is committed to protecting the minimal personal and corporate information required to run your AI instances.

3.1 Information We Collect

Account Details: Full Name, Business/Organization Name, Email Address, Phone Number — used for account provisioning, administrative notices, customer support, and billing management. Platform Data: Uploaded custom business prompts, documentation, knowledge bases, contact databases, and API payload data — used for training and execution of your specific AI agent instances. Financial Data: None stored locally; handled entirely by third-party billing APIs via secure off-site payment gateways for subscription fulfillment.

3.2 How We Use & Process Data

Your data is processed strictly for: workspace creation, provisioning, and access management; providing direct technical support, service alerts, and administrative updates; and ensuring accurate routing of multi-channel AI messages, voice connections, and webhooks. Data Monetization Prohibitions: Crinoid Investments Limited does not sell, rent, monetize, trade, or share your personal details, corporate knowledge bases, or end-user conversation logs with third-party advertisers or data brokers.

3.3 Data Security & Third-Party Integrations

Security Protocols: Industry-standard operational, technical, and administrative security measures are enforced to safeguard your platform data against unauthorized access, leaks, or destruction. Offloaded Financial Security: All financial transactions are managed by authorized, compliant third-party billing platforms; financial credentials never touch our core servers. Client Responsibility: Clients are responsible for ensuring they possess the necessary consent and rights from their end-users before uploading contact details or transmitting user data through AI Agents Ke nodes.

3.4 Data Rights & Control

Under applicable data protection frameworks (including the Republic of Kenya Data Protection Act, 2019), Clients maintain full control over their personal information and workspace data. You hold the right to: access and review all account information held by the Company; request corrections to inaccurate account details; and request complete deletion/purging of your workspace data, custom prompts, and conversation logs. 4.1 Governing Law & Jurisdiction

This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Republic of Kenya. Any disputes arising under or in connection with these terms shall be subject to the jurisdiction of the courts of Kenya.

4.2 Revisions & Amendments

Crinoid Investments Limited reserves the right to update or modify this Agreement at any time. When updates occur, the “Last Updated” date at the top of this document will be revised. Continued use of the platform after posted modifications constitutes explicit acceptance of the updated terms.

We do not process, transmit, or store any financial credentials (such as credit card numbers or M-Pesa details) on our servers.
